Knakl Cloud — Promotional Credit Terms

These Promotional Credit Terms govern signup credits, promotional credits, referral credits, and any other Service credits offered by Knakl Cloud LLC (“Knakl”, “we”, “us”). They are incorporated into the Terms of Service and expand on Section 4 of those Terms.
1. What Credits Are
“Credits” are a promotional balance applied to your Account that offsets eligible Knakl Service charges as they are incurred.
Credits are not money, not a deposit, not a gift card, and not stored value. They have no cash value, cannot be redeemed for cash, cannot be transferred between Accounts, cannot be sold or exchanged, and are not refundable in whole or in part.
Credits do not create an account balance you own. They are a discount mechanism we may apply, withdraw, or expire under these terms.
2. Eligibility
Unless the specific offer states otherwise:

Credits are available to new Accounts only, limited to one grant per person, per organization, per payment method, and per household.

You must provide accurate registration information and a valid payment method. You must complete any verification we require, which may include email, phone, payment method, or identity verification.

Credits are not available where prohibited by law, or to anyone located in a jurisdiction subject to comprehensive U.S. sanctions or listed on a U.S. government restricted-party list.

Knakl employees, contractors, and their immediate family members are not eligible for public promotional offers. We may decline to grant Credits, or withdraw them after granting, if eligibility criteria are not met.

3. How Credits Apply
3.1 Credits are applied automatically against eligible charges as they accrue, before your payment method is charged.
3.2 Credits apply only to Knakl Service charges. Unless an offer expressly states otherwise, Credits do not apply to: taxes, duties, or regulatory fees; third-party or marketplace products; licensing fees for commercial operating systems or software; overage or excess bandwidth charges billed separately; support plans purchased separately; or any minimum commitment or reserved-capacity charge.
3.3 Where multiple Credits are on an Account, the earliest-expiring Credits are consumed first.
3.4 Credits do not apply retroactively to charges incurred before the Credits were granted.
3.5 Charges exceeding your Credits are your responsibility and will be charged to your payment method. Credits do not act as a spending cap. You are responsible for monitoring your usage.
4. Expiration
4.1 Unless the offer states otherwise, Credits expire [60] days after they are granted.
4.2 Expired Credits are forfeited and cannot be reinstated, extended, or exchanged.
4.3 Credits also expire immediately if your Account is closed, suspended, or terminated for any reason.
4.4 We will not usually notify you before Credits expire. The expiration date is shown in your Account dashboard.
5. What Happens When Credits Run Out
When your Credits are exhausted or expire, your resources continue running and charges accrue to your payment method at standard published rates. Your Services are not automatically stopped.
If you do not want to be charged, you must destroy or cancel your resources before your Credits are exhausted. Powering off a server does not necessarily stop charges — storage and reserved resources may continue to bill. Consult the pricing documentation for your Service.
6. Prohibited Conduct
You may not:

create multiple Accounts, or use false, duplicate, or another person’s information, to obtain additional Credits;

use disposable email addresses, virtual phone numbers, or anonymizing services to circumvent eligibility checks;

transfer, sell, trade, or attempt to monetize Credits;

use Credits for cryptocurrency mining or any use prohibited by the Acceptable Use Policy;

exploit an error, bug, or misconfiguration in how Credits are granted or applied;

use Credits primarily to resell Knakl resources to third parties.
Consequences. Where we identify abuse, we may revoke Credits immediately, charge your payment method for the full value of resources consumed, suspend or terminate all Accounts associated with the abuse, and decline future promotional offers. Section 3.7 of the Terms of Service (no refunds) applies.
7. Referral Credits
Where we operate a referral program:

Credits are granted only after the referred Account completes any qualifying activity stated in the offer (typically verification and a first payment).

Self-referrals, referrals between Accounts you control, and referrals obtained through spam, misleading advertising, unauthorized use of the Knakl name or marks, or paid search on Knakl brand terms are not eligible.

We may cap the number of referral Credits an Account can earn in any period.

If a referred Account is later found to be fraudulent or is terminated for abuse, associated referral Credits may be revoked.
8. Changes and Revocation
8.1 We may modify, suspend, or discontinue any promotional offer at any time. Changes do not affect Credits already granted and validly held, except as set out below.
8.2 We may revoke, reduce, or expire Credits at any time, including for abuse, fraud, misrepresentation, breach of the Terms of Service or Acceptable Use Policy, or to correct an error in how Credits were granted.
8.3 We may update these Promotional Credit Terms by posting a revised version and updating the “Last Updated” date. Terms in effect when Credits were granted govern those Credits, except where a change is required by law or to address abuse.
9. Disclaimers
Credits are provided “as is”. Grant of Credits does not create any warranty, service level commitment, or entitlement to continued Service. Sections 11 and 12 of the Terms of Service (disclaimer of warranties and limitation of liability) apply fully to Services consumed using Credits.
Where Credits are used on Beta Services, Section 2.3 of the Terms of Service also applies.
